PP Research Lab Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of papiresearch.com, including any related pages, accounts, ordering systems, services, content, and communications operated by Peptide Papi, LLC, doing business as PP Research Lab (“PP Research Lab,” “we,” “us,” or “our”).

By accessing the website, creating an account, submitting information, or placing an order, you agree to these Terms and our Research-Use Policy, Privacy Policy, Shipping Policy, and Returns and Replacement Policy.

Do not use the website or purchase our products unless you agree to these Terms.

1. Eligibility

You must be at least twenty-one years old and legally capable of entering into a binding agreement.

Products are available only to purchasers who:

• Have a legitimate research purpose;
• Are legally authorized to purchase and possess the products;
• Have the training and facilities necessary to handle them safely; and
• Agree to all applicable research-use restrictions.

We may establish additional eligibility requirements for certain products, customers, locations, or transactions.

2. Research-Use Restrictions

All products are sold subject to the PP Research Lab Research-Use Policy.

Unless expressly stated otherwise in writing, products are intended only for legitimate laboratory, analytical, educational, or scientific research. They are not intended for human consumption, veterinary use, clinical use, diagnosis, treatment, prevention, cosmetic use, compounding, household use, or personal experimentation.

You may not purchase, possess, resell, transfer, or use products for any unauthorized or unlawful purpose.

3. Account Registration

Certain features may require an account.

You agree to:

• Provide accurate, complete, and current information;
• Maintain the confidentiality of your credentials;
• Restrict unauthorized access to your account;
• Promptly update changes to your information;
• Notify us of suspected unauthorized activity; and
• Accept responsibility for activity conducted through your account.

You may not impersonate another person or organization, create an account using false information, share an account to avoid restrictions, or register on behalf of an undisclosed purchaser.

We may request identity, age, institutional, business, tax, or end-use verification.

4. Account Approval

Account registration does not guarantee access to products or approval of orders.

We may approve, deny, suspend, restrict, or terminate an account at our discretion when reasonably necessary to protect PP Research Lab, customers, payment providers, carriers, or the public, or to comply with applicable law.

5. Product Information

We attempt to present product names, identifiers, specifications, quantities, concentrations, purity information, testing information, storage guidance, photographs, availability, and pricing accurately.

However:

• Images may be illustrative;
• Packaging may change;
• Scientific and technical information may contain errors or omissions;
• Product characteristics may vary within stated specifications;
• Availability may change without notice; and
• Website content is not a substitute for independent product evaluation.

You are responsible for verifying that a product is appropriate for your intended lawful research before purchasing or using it.

6. Certificates and Laboratory Documents

Certificates of Analysis and other testing records apply only to the identified sample, lot, test, and testing conditions.

Unless expressly stated:

• A purity test does not establish sterility;
• An identity test does not establish safety;
• A laboratory result does not establish fitness for a particular purpose;
• A result does not constitute governmental approval; and
• Results should not be interpreted as establishing suitability for human or veterinary use.

Customers must independently assess whether available documentation is sufficient for their research.

7. Orders

An order is an offer to purchase. We may accept, reject, limit, hold, or cancel an order for reasons including:

• Product unavailability;
• Incorrect pricing or product information;
• Payment failure;
• Suspected fraud;
• Research-use concerns;
• Regulatory or legal restrictions;
• Shipping limitations;
• Verification failure;
• Unusual purchasing activity; or
• Violation of these Terms.

An automated confirmation acknowledges receipt of an order but does not necessarily constitute acceptance. An order is accepted when we complete the applicable acceptance process or ship the product.

8. Prices and Payment

Prices are displayed in U.S. dollars unless otherwise stated.

You agree to pay:

• Product charges;
• Shipping and handling;
• Applicable taxes;
• Customs charges;
• Duties;
• Processing fees; and
• Other charges disclosed before purchase.

We may change prices at any time. Price changes do not affect orders already accepted unless correction is required for an obvious pricing error.

You represent that you are authorized to use the payment method submitted.

9. Taxes

You are responsible for applicable sales, use, excise, customs, import, or similar taxes unless PP Research Lab is legally required to collect them.

Tax-exempt purchasers must provide valid and current documentation before an order is processed as tax exempt.

10. Shipping

Shipping is governed by our Shipping Policy.

Delivery dates are estimates, not guarantees. We are not responsible for delays caused by carriers, weather, natural disasters, government action, inspections, incorrect addresses, inaccessible locations, customer unavailability, or other circumstances beyond our reasonable control.

Risk of loss and title pass as provided by applicable law and the shipping terms displayed at checkout.

Customers must inspect shipments promptly and comply with the reporting deadlines in our Returns and Replacement Policy.

11. Shipping Restrictions

We may decline to ship to:

• Particular states, territories, or countries;
• Freight forwarders;
• Mail-forwarding services;
• Hotels or temporary addresses;
• Post-office boxes;
• Unverified commercial locations; or
• Addresses associated with fraud, diversion, or prohibited activity.

You are responsible for determining whether receipt, possession, importation, or use is lawful at the destination.

12. Returns, Refunds, and Replacements

Due to the nature of research materials, products may be nonreturnable once shipped, except as required by law or provided in our Returns and Replacement Policy.

Do not return a product without written authorization.

Claims involving a missing, incorrect, damaged, or compromised shipment must be submitted within 10 calendar days after delivery and must include requested documentation.

Approved refunds are issued to the original payment method unless otherwise required by law.

13. Cancellations

Cancellation requests must be submitted before fulfillment begins. We do not guarantee that an order can be canceled after submission.

Custom, special-order, temperature-controlled, clearance, or already fulfilled orders may not be cancellable.

14. No Medical, Veterinary, or Professional Advice

Website content is provided for general business, technical, and research-reference purposes.

PP Research Lab does not provide:

• Medical advice;
• Veterinary advice;
• Pharmaceutical advice;
• Treatment recommendations;
• Dosing instructions;
• Administration instructions;
• Reconstitution instructions for personal use;
• Diagnostic services; or
• Individualized health recommendations.

Nothing on the website creates a professional, fiduciary, clinical, or advisory relationship.

15. Prohibited Uses of the Website

You may not:

• Violate applicable law;
• Purchase for human or veterinary use;
• Circumvent account or order restrictions;
• Scrape, harvest, copy, or commercially exploit website content;
• Introduce malware or harmful code;
• Interfere with website security;
• Attempt unauthorized access;

• Make false statements regarding products or PP Research Lab;

16. Intellectual Property

The website and its text, graphics, product photographs, logos, layout, databases, documents, and other content are owned by or licensed to PP Research Lab and are protected by applicable intellectual-property laws.

We grant you a limited, revocable, nonexclusive, nontransferable license to access the website for lawful personal or internal business purposes.

You may not reproduce, republish, modify, distribute, sell, license, reverse engineer, or create derivative works from website content without prior written permission, except as permitted by law.

17. Product Reviews and User Content

When you submit a review, photograph, comment, or other content, you represent that:

• You own or control the content;
• The content is accurate and lawful;
• The content does not violate another person’s rights;
• The content does not disclose confidential information; and
• The content does not promote human, veterinary, clinical, or otherwise unauthorized use.

You grant PP Research Lab a nonexclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and display submitted content for lawful business purposes.

We may reject or remove content that violates these Terms. We do not accept testimonials describing personal administration, dosing, treatment, weight loss, bodybuilding, anti-aging, healing, performance enhancement, or other human-use experiences.

18. Third-Party Services and Links

The website may use or link to third-party payment processors, shipping carriers, testing laboratories, analytics providers, social-media platforms, or other services.

We do not control and are not responsible for third-party services, availability, security, content, terms, or privacy practices. Use of third-party services may be governed by separate terms.

19. Communications

By providing contact information, you authorize us to send transactional communications concerning accounts, verification, orders, payments, shipping, security, compliance, and customer support.

Marketing communications will be sent only as permitted by law. You may unsubscribe from marketing messages, but you may continue to receive necessary transactional communications.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, PRODUCTS, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PP RESEARCH LAB DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, AND RESULTS.

WE DO NOT WARRANT THAT:

• THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE;
• ALL DEFECTS WILL BE CORRECTED;
• PRODUCT INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT;
• A PRODUCT WILL BE SUITABLE FOR A PARTICULAR EXPERIMENT;
• RESEARCH WILL PRODUCE A PARTICULAR RESULT; OR
• PRODUCTS ARE SUITABLE FOR HUMAN OR VETERINARY USE.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PP RESEARCH LAB AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST BUSINESS, RESEARCH INTERRUPTION, OR REPUTATIONAL LOSS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A PRODUCT, ORDER, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO PP RESEARCH LAB FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by law.

22. Indemnification

You agree to defend, indemnify, and hold harmless PP Research Lab and its owners, officers, employees, affiliates, suppliers, and service providers from claims, liabilities, damages, judgments, losses, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from:

• Your violation of these Terms;
• Your violation of the Research-Use Policy;
• Your handling, storage, use, resale, transfer, or disposal of a product;
• Your violation of law;
• Your infringement of another person’s rights;
• Information or content you submit; or
• Misrepresentation of your identity, eligibility, qualifications, or intended use.

23. Force Majeure

PP Research Lab is not responsible for delay or nonperformance caused by circumstances beyond our reasonable control, including natural disasters, extreme weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disruption, carrier interruption, supply shortage, cyberattack, utility failure, governmental action, regulatory change, or transportation disruption.

24. Governing Law

These Terms are governed by the laws of the State of FL, without regard to conflict-of-law principles, together with applicable federal law.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

25. Dispute Resolution

Before filing a claim, you agree to contact us at info@papiresearch.com and make a good-faith effort to resolve the dispute informally for at least thirty days.

Any legal action not subject to a valid arbitration provision must be brought in the state or federal courts located in Miami Dade County, FL, and each party consents to their jurisdiction and venue.

Nothing in this section prevents either party from seeking temporary or emergency injunctive relief where legally appropriate.

26. Time Limit for Claims

To the extent permitted by law, any claim relating to the website, a product, or these Terms must be filed within one year after the claim arose, unless a longer period is required by law.

27. Termination

We may suspend or terminate access to the website or an account when we reasonably believe a user has violated these Terms, created legal or security risk, or engaged in fraudulent or prohibited conduct.

Provisions that by their nature should survive termination will remain effective, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute provisions.

28. Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable or severed if modification is not possible. The remaining provisions will remain in effect.

29. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

30. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the website or business.

31. Entire Agreement

These Terms and the policies incorporated by reference constitute the entire agreement between you and PP Research Lab regarding the website and purchases and supersede prior communications concerning the same subject.

32. Changes to These Terms

We may revise these Terms periodically. Revised Terms will be posted with an updated “Last Updated” date.

Material changes will be communicated when required by law. Continued use after revised Terms take effect constitutes acceptance of the revised Terms.
